INDEPENDENT CONTRACTOR SALES REPRESENTATIVE AGREEMENT
This Independent Contractor Sales Representative Agreement ("Agreement") is entered into as of the date of signature by and between Wild Child Media Group, LLC, including its affiliated brands and divisions ("Company"), and the undersigned Independent Contractor ("Contractor").
1. Appointment
The Company appoints the Contractor as a non-exclusive Independent Sales Representative to promote sponsorship opportunities, advertising opportunities, brand partnerships, and other products or services designated by the Company.
The Contractor is not authorized to enter into contracts, make representations, accept payments, or bind the Company in any manner unless expressly authorized in writing.
2. Independent Contractor Status
The Contractor acknowledges and agrees that they are engaged as an independent contractor and not as an employee, partner, joint venturer, or agent of the Company.
Nothing contained in this Agreement shall be interpreted as creating an employer-employee relationship.
The Contractor shall determine the manner and means by which services are performed, subject only to Company policies regarding branding, ethics, and professionalism.
3. Compensation
The Contractor shall be compensated solely on a commission basis.
Unless otherwise agreed in writing, the Contractor shall receive:
$50.00 for each qualified sponsor or client secured by the Contractor that results in a fully executed agreement and payment being received by the Company.
No commission shall be earned unless payment has been successfully received by the Company.
The Company reserves the right to modify commission programs for future sales upon written notice.
4. Taxes
The Contractor is solely responsible for:
Federal income taxes
State income taxes
Local taxes
Self-employment taxes
Social Security
Medicare
Any other taxes required by law
The Company shall not withhold payroll taxes, unemployment taxes, workers' compensation premiums, or any other employment-related deductions.
The Contractor is responsible for reporting all income received under this Agreement.
5. No Employee Benefits
The Contractor understands they are not eligible for:
Health insurance
Retirement benefits
Paid vacation
Sick leave
Holiday pay
Workers' compensation
Unemployment benefits
Overtime pay
Any employee benefit offered by the Company
6. Expenses
Unless otherwise agreed in writing, the Contractor shall be responsible for all expenses incurred while performing services, including transportation, internet, telephone, office supplies, and equipment.
7. Confidentiality
The Contractor agrees to maintain the confidentiality of all proprietary and non-public information obtained through their relationship with the Company, including but not limited to:
Sponsor information
Client lists
Pricing
Marketing strategies
Business operations
Internal documents
Sales materials
This obligation survives termination of this Agreement.
8. Non-Solicitation
During the term of this Agreement and for twelve (12) months following termination, the Contractor agrees not to knowingly solicit or divert existing Company sponsors or clients for competing products or services without the Company's written consent.
9. Intellectual Property
All marketing materials, branding, logos, training materials, documents, presentations, graphics, photographs, and other intellectual property remain the exclusive property of the Company.
The Contractor may use Company materials only while actively representing the Company and only for authorized business purposes.
10. Standards of Conduct
The Contractor agrees to conduct themselves professionally and ethically at all times.
The Contractor shall not:
Make false or misleading statements.
Misrepresent Company services.
Offer unauthorized discounts.
Modify Company pricing.
Enter into agreements on behalf of the Company.
Make guarantees or promises not approved by the Company.
11. Commission Approval
The Company reserves the sole right to determine whether a sale qualifies for commission payment.
Commissions will not be paid on:
Canceled agreements
Refunded transactions
Fraudulent transactions
Duplicate leads
Existing Company clients unless specifically assigned by management
12. Term and Termination
Either party may terminate this Agreement at any time, with or without cause, upon written notice.
Termination shall not affect commissions properly earned on qualified transactions completed before the effective date of termination.
13. Indemnification
The Contractor agrees to indemnify and hold harmless the Company from claims, damages, liabilities, costs, or expenses arising from the Contractor's negligence, misconduct, unauthorized representations, or violation of this Agreement.
14. Governing Law
This Agreement shall be governed by and interpreted under the laws of the State of Georgia.
15. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior oral or written agreements regarding the subject matter herein.
No modification shall be effective unless made in writing and signed by both parties.
Non-Disclosure Agreement (NDA) for all positions within the company.
While on duty working with Wild Child Media Group, you may have access to confidential and proprietary information, including but not limited to unpublished articles, creative content, business strategies, marketing plans, internal communications, and any other sensitive materials related to the company’s operations.

Confidentiality – You will not disclose, share, or distribute any confidential information obtained during your internship, including unpublished work, business plans, or internal communications, without prior written consent from
Wild Child Media Group
.
Use of Information – Any confidential information accessed during your internship is to be used solely for the purpose of fulfilling your intern responsibilities. You may not use, copy, or retain such information for personal gain or any other purpose outside of your assigned role.
Intellectual Property – Any content, ideas, or work created during your internship remains the exclusive property of
Wild Child Media Group
. You agree that you will not claim ownership or use such materials without authorization.
Duration – This agreement remains in effect during and after your time working with
Wild Child Media Group
. You are prohibited from sharing confidential company information even after your internship has ended.
Breach of Agreement – Any violation of this NDA may result in immediate termination of your position and potential legal action.
